"1. The Chancellor and I have a meeting with you tomorrow to take stock of the work that officials and advisers have been doing on Railtrack. This note might serve as an aide-memoire for that discussion.

2. You will recall that Railtrack first came to us seeking support in January and that a package of measures was drawn up in April. The most recent approach makes clear that the company's underlying position wa's worse than either we or it recognised. A huge amount of work has now been done on the options before us. AIthough there is still much to do, and the picture still not absolutely clear, one fact stands out. This is a company that does not have full control of its business - and that does not know the underlying costs of that business. The key question is therefore whether we can continue to use public funds to prop up such a company and, if so, on what terms. And, of course, we have to take care to ensure that our decisions ensure the continued safe operation of the railway.

3. You will want to look through the attachments before we meet. These set out material on:
- Railtrack's revised proposal
- An alternative equity model
- A not-for-profit "Company limited by Guarantee"
- Costs/ financing - A key decision key/critical path."
